Terms of Service

Please review the terms governing Canidoai products and services.

1. Acceptance of Terms

By purchasing, accessing, or using Canidoai's products and services, you agree to these Terms of Service ("Terms"). If you are acting on behalf of a business, you confirm that you are authorized to accept these Terms on its behalf.

These Terms apply to our website design, hosting, AI agents, software, automation, consulting, marketing, and related services. Any separately accepted proposal or service agreement will govern specific project details and take precedence where expressly inconsistent with these Terms.

2. Services and Payments

Canidoai provides custom websites, hosting, AI-powered software, autonomous agents, business automation, marketing solutions, and related technology services.

Prices, payment schedules, subscriptions, and deliverables are described in the applicable product listing, proposal, or service agreement.

Payments may be processed through Stripe or other authorized providers. Additional work, revisions, third-party subscriptions, API usage, and hosting charges may incur separate fees when disclosed and authorized.

We may suspend services for unpaid balances after reasonable notice.

3. Refunds and Cancellations

Custom projects involve development time and resources. Customers are responsible for work completed and authorized expenses incurred before cancellation.

Completed and accepted custom services are generally nonrefundable, except as required by law or contract. Any refund of unused prepaid amounts will be determined by the applicable agreement and legal requirements.

Subscriptions renew according to the terms disclosed at purchase. Customers may cancel through the available billing portal or by contacting info@canidoai.pro. Cancellation generally stops future renewals but does not automatically refund the current billing period.

Serious violations of these Terms may result in termination without refund of earned fees or current-period charges where expressly disclosed and legally permitted.

4. Ownership and Intellectual Property

Customers retain ownership of their original content and materials.

After full payment, customers own the custom website deliverables specifically designated for transfer in their agreement.

Canidoai retains ownership of its proprietary AI agents, software, reusable code, templates, frameworks, tools, and technology unless otherwise agreed in writing.

Purchased AI software and agents are generally licensed for use, not sold. Third-party products remain subject to their respective licenses.

AI-generated content may not be eligible for copyright protection or exclusive ownership.

5. AI Agents and Customer Responsibilities

AI agents can generate content, access connected applications, and perform automated tasks. Their results may be inaccurate, incomplete, or unintended.

Customers are responsible for providing appropriate instructions, permissions, safeguards, and human oversight.

AI agents can make mistakes. Customers must review AI-generated content and consequential actions before relying on them, particularly for financial, legal, medical, employment, lending, or other sensitive decisions.

Unless expressly authorized, agents must not independently transfer funds, enter contracts, disclose confidential information, or make binding commitments.

Canidoai does not guarantee particular business results, revenue, lead generation, search rankings, or error-free performance.

6. Legal and Regulatory Compliance

Customers are responsible for ensuring their use of Canidoai products complies with applicable federal, state, local, and international laws, regulations, licensing requirements, and professional or industry standards.

This includes privacy, consumer protection, advertising, intellectual property, telecommunications, employment, financial services, healthcare, and other applicable requirements.

Customers must obtain necessary permissions, disclosures, and consents, including for automated marketing communications and personal-data processing.

Canidoai provides technology services, not legal or regulatory compliance certification. Nothing in these Terms eliminates Canidoai's own legal responsibilities.

7. Prohibited Activities

Customers may not use our software, AI agents, websites, or services to:

  • Conduct illegal, fraudulent, deceptive, or discriminatory activities.
  • Illegally copy, reproduce, distribute, or exploit copyrighted works or other intellectual property.
  • Access systems, accounts, or information without authorization.
  • Distribute malware, conduct unlawful surveillance, or compromise security.
  • Send unlawful spam, impersonate others, or violate privacy rights.
  • Violate applicable third-party platform rules or licensing restrictions.

These restrictions also apply to activities performed automatically by agents operating under a customer's authority.

Canidoai may immediately suspend or terminate services for serious violations or credible threats of harm. Fees already earned and current-period charges may be retained to the extent permitted by law and the applicable agreement.

8. Privacy, Security, and Third-Party Services

Customers are responsible for securing their accounts, credentials, connected applications, and information under their control.

Canidoai uses commercially reasonable security measures appropriate to the services provided, but no internet-connected system can be guaranteed completely secure.

Our services may depend on external AI providers, hosting platforms, software applications, and APIs. These providers may experience outages, change their features, or charge additional fees.

Customers must not submit regulated or highly sensitive information unless appropriate processing arrangements and safeguards have been established.

Personal information collected by Canidoai is subject to our separate Privacy Policy.

9. Service Availability and Changes

We strive to provide reliable services but cannot guarantee uninterrupted availability or that AI-generated results will always be accurate.

Maintenance, technical failures, cyberattacks, provider outages, or circumstances beyond our reasonable control may interrupt services.

We may update or improve our services, subject to existing contractual commitments and applicable law.

10. Liability and Indemnification

To the maximum extent permitted by law, Canidoai is not responsible for indirect or consequential losses, including lost profits or business opportunities.

Our aggregate liability for claims related to a particular service is limited to the amounts paid for that service during the preceding 12 months, except where liability cannot legally be limited.

Customers agree to indemnify Canidoai against qualifying third-party claims arising from their unlawful use of the services, infringement of intellectual property, or material violation of these Terms, except to the extent caused by Canidoai's own negligence, misconduct, or breach.

11. Termination and Disputes

Canidoai may suspend or terminate services for material nonpayment, illegal activity, serious security risks, intellectual property infringement, or material violations of these Terms.

Termination does not eliminate outstanding payment obligations for completed work or authorized expenses.

These Terms are governed by Florida law, except where other applicable laws require otherwise.

The parties agree to attempt to resolve disputes through good-faith communication before pursuing formal legal remedies.

Nothing in these Terms limits nonwaivable consumer rights or lawful payment disputes.

12. Updates and Contact

We may update these Terms periodically. Material changes will be communicated when required by law and will not retroactively change existing contractual commitments without appropriate consent.
